1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Refact, LLC ("Refact," "we," "us," or "our") website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
2. Description of Services
Refact provides AI-powered automation solutions for businesses, including but not limited to workflow automation, document processing, customer communication automation, and integration services with third-party platforms. Our services are provided on a consulting and subscription basis as outlined in individual service agreements.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these requirements.
4. User Accounts and Registration
To access certain services, you may need to create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use
- Accept responsibility for all activities under your account
5. Acceptable Use Policy
You agree not to:

You retain ownership of any data, content, or materials you provide to us ("User Content"). By using our services, you grant us a limited, non-exclusive license to use, process, and store your User Content solely for the purpose of providing our services. You represent and warrant that:
- You own or have the necessary rights to your User Content
- Your User Content does not violate any third-party rights
- Your User Content complies with all applicable laws
8. Payment Terms
Payment terms are outlined in individual service agreements. Generally:
- Fees are due as specified in your service agreement
- All fees are non-refundable unless otherwise stated
- We reserve the right to change our pricing with 30 days' notice
- Failure to pay may result in suspension or termination of services
- You are responsible for all applicable taxes
9. Service Level and Availability
While we strive to maintain high availability, we do not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue services at any time with reasonable notice. Scheduled maintenance will be communicated in advance when possible.
10. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information exchanged during the course of our business relationship. This obligation survives termination of the agreement.
11. Data Security and Privacy
We implement reasonable security measures to protect your data. However, no method of transmission or storage is completely secure. You acknowledge and accept the inherent risks of data transmission over the internet. For more information, please review our Privacy Policy.
12. Third-Party Services
Our services may integrate with third-party platforms and services. We are not responsible for the availability, accuracy, or content of these third-party services. Your use of third-party services is subject to their respective terms and policies.
13. Warranties and Disclaimers
Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:
- Merchantability or fitness for a particular purpose
- Non-infringement of third-party rights
- Accuracy, reliability, or completeness of content
- Uninterrupted or error-free operation
14. Limitation of Liability
To the maximum extent permitted by law, Refact, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless Refact, LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your use of our services, violation of these Terms, or infringement of any third-party rights.
16. Termination
Either party may terminate the service agreement with written notice as specified in the individual service agreement. We reserve the right to suspend or terminate your access immediately if you violate these Terms. Upon termination, you must cease all use of our services, and we may delete your data in accordance with our data retention policies.
17. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial.
18. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Material changes will be communicated via email or prominent notice on our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.
19. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms, together with any individual service agreements and our Privacy Policy, constitute the entire agreement between you and Refact, LLC regarding the use of our services.
